Baraclough moved to Glanford Park from Notts County two seasons ago, after his contract at the Magpies ran out.
He formed an impressive midfield partnership with Richar Kell as the Iron finished second in League Two, and was vital as they earned League One survial last season.
All the players who have been offered contracts to stay have now accepted them, with the exception of winger Peter Beagrie.
